    Terms of Sale — CrossbordIA Version 2.6 — 8 October 2026 SIREN 103 738 084 — R.C.S. Paris Reserved for professionals — Supplements the Terms of Use

Preamble These Terms of Sale (“Terms of Sale”) govern the provision of the paid CrossbordIA services by CrossbordIA SAS, a simplified joint-stock company (SAS) with share capital of €1.00, whose registered office is located at 47 rue Vivienne, 75002 Paris, registered with the Paris Trade and Companies Register (R.C.S.) under number 103 738 084 (hereinafter “the Publisher”), to the professional Customer. They supplement the Terms of Use. In the event of contradiction, the Terms of Sale prevail over the Terms of Use for commercial and financial matters.

Article 1 — Hierarchy of contractual documents In the event of contradiction, priority applies in the following order: Signed quotation / purchase order / online order Special conditions (if applicable) These Terms of Sale CrossbordIA Terms of Use Annexes, including the DPA (Data Processing Agreement) if applicable

Article 2 — Plans — Subscription The Customer subscribes to a plan (subscription, licence, API consumption, options) in accordance with the published or agreed prices and scopes. The contract enters into force on the date on which the Publisher accepts the order.

Article 3 — Scope of the Service The Service corresponds to the features and limits defined by the plan subscribed to. Any service outside this scope (integration, bespoke configuration, advice) is subject to a separate quotation.

Article 4 — Prices — Taxes Prices are expressed in euros exclusive of tax (excl. VAT). Applicable taxes (VAT, etc.) are payable by the Customer, at the rate in force on the date of invoicing.

Article 5 — Invoicing — Terms of payment Invoicing takes place according to the frequency of the subscription taken out (monthly or annual) or according to the terms set out in the quotation. Payment is made via Stripe. Unless otherwise agreed, invoices are payable upon receipt.

Article 6 — Late payment — Penalties — Suspension In the event of late payment, penalties apply automatically at the statutory rate applicable to commercial transactions, together with a fixed-sum indemnity of €40 (Article L.441-10 of the French Commercial Code), without prejudice to additional compensation if the actual costs exceed this amount. The Publisher may suspend access after a formal notice has remained unanswered for 15 days.

Article 7 — Term — Tacit renewal Unless otherwise stipulated, subscriptions are tacitly renewed for equivalent periods, unless notice of non-renewal is given within the notice period indicated in the plan or the quotation.

Article 8 — Termination — No refund Early termination by the Customer does not give rise to any refund of sums already invoiced, unless expressly agreed in writing by the Publisher.

Article 9 — Price changes Price changes are notified with 30 days' notice and apply at the next renewal.

Article 10 — Obligation of means — No warranty — AI clause The Service is provided under an obligation of means. Given the probabilistic nature of the Google Gemini model and the complexity of customs rules, the Publisher guarantees no result and assumes no obligation of result, in particular as regards the accuracy of the classifications proposed.

⚠ AI clause — Warning on the probabilistic nature of the Results The tariff classifications proposed by CrossbordIA via Google Gemini are probabilistic suggestions. They may be erroneous even where the input data is correct. The Publisher cannot be held liable for the classification decision adopted by the Customer, that decision being its sole responsibility. Any use of the Results for declaration purposes without prior human validation engages the sole liability of the Customer.

Article 11 — Exclusion of indirect damage To the extent permitted by law, the Publisher is not liable for indirect damage: loss of turnover, loss of margin, operating loss, loss of opportunity, reputational damage, customs reassessments, administrative penalties, additional logistics costs.

Article 12 — Liability cap The Publisher's total liability, for all causes combined, is capped at the total amount paid by the Customer during the twelve (12) months preceding the event giving rise to the claim. This cap constitutes an essential element of the economic balance of the contract, without which the Publisher would not have contracted on these pricing terms.

Article 13 — Exceptions to the cap The cap in Article 12 does not apply in the event of: personal injury caused by a defect in the Service; duly established gross negligence or wilful misconduct on the part of the Publisher; manifest infringement of the Customer's intellectual property rights.

Article 14 — Indemnification in favour of the Publisher The Customer shall indemnify the Publisher against any third-party claim resulting from: inaccurate or unlawful Customer Content; use of the Service in breach of the Terms of Use/Terms of Sale; customs decisions taken by the Customer; breaches of the applicable regulations.

Article 15 — Confidentiality Each party undertakes to keep confidential the non-public information obtained in connection with the contract. This obligation survives termination for 3 years.

Article 16 — Personal data and DPA The processing of personal data is governed by the CrossbordIA Privacy Policy. A Data Processing Agreement (DPA) may be concluded on request to contact@crossbordia.fr.

Article 17 — Force majeure Neither party shall be liable for a failure due to an event of force majeure within the meaning of Article 1218 of the French Civil Code.

Article 18 — Credits: validity and consumption Each allocation of credits (monthly or annual subscription, top-up, referral, free plan) constitutes a batch valid for twelve (12) months from its date of purchase or allocation. Credits are consumed starting with the batch with the nearest expiry date. One credit is consumed per item and per jurisdiction as soon as the first result is delivered (final code or documented question); resumption after an answer, the application of a standing instruction, cancellation followed by a new answer, and the supporting document are included. Each new classification requested, including via the “Reclassify” button, a new API call or the import of an item identical to an item already classified, consumes one credit per jurisdiction. On expiry, unused credits expire automatically; expired credits are neither refunded, carried over nor convertible. The Customer is notified by email thirty (30) days before a batch expires. On an upgrade, a new billing period begins immediately: the unused portion of the previous subscription is deducted pro rata, and the credits of the new tier are credited as soon as the change invoice is paid. On a downgrade, the change takes effect at the next renewal, after payment of the corresponding invoice. From that date, the features not included in the new plan (in particular the API, webhooks, store connection, shipper workspaces, standing instructions, the production of customs invoices, duty history and regulatory requirements) cease to be accessible. The related data is not deleted: customs invoices already produced remain viewable, shipper workspaces remain accessible in read-only mode, and everything becomes usable again in the event of a return to a plan that includes these features, within the retention limits set out in the Privacy Policy. Credits already allocated remain usable until their expiry. Users who are already members of the company are not removed; no new invitation is possible as long as the number of users exceeds the limit of the new plan. No credit is consumed in the event of a technical error, insufficient data or suspension of processing. The production of a customs invoice costs 1 credit per invoice; the same unchanged order does not give rise to any new debit.

Article 19 — Governing law — Jurisdiction The Terms of Sale are governed by French law. Any dispute falls within the exclusive jurisdiction of the Paris Judicial Court. The parties undertake to attempt an amicable resolution within a period of 30 days before any legal action.
